The 16th annual Canadian Spencer Stuart Board Index (CSSBI) studies director compensation, governance practices and trends for 100 of the largest publicly traded Canadian companies (annual revenues exceeding $1 billion) and includes comparisons with U.S. companies of equivalent size.

The 2011 edition features a special report, “Minding the Gap: The Shift to High Performance Boards,” which compares the findings from the 1997 CSSBI to 2011. Canadian boards are getting older. In 1997, 8% of directors were 71 or older. In 2010, 15% of directors fell into this category. The 61 to 70 category has also increased, going from 39% in 1997 to 45% in 2010. In all other age
categories, the numbers have decreased since 1997.

GOVERNANCE DIFFERENCES OF EQUITY CONTROLLED CORPORATIONS:

Many large Canadian corporations are controlled by a family, a parent
company or a group of shareholders through their holdings of common shares. 
Effective equity control can come from holding as little as 20% of the common
shares of a widely held company.  CCGG recognizes that the guidelines in 2010
Building High Performance Boards may not apply equally to equity controlled
companies.  The purpose of this document is to supplement those guidelines to
take into account the legitimate governance differences of equity controlled
corporations.

TORONTO, October 4, 2011 – Risk management is an increasing priority for Canadian boards, but directors are divided on the board’s role in helping to mitigate human capital risk and improve organizational performance beyond the CEO level.

This is according to a new research report, “Beyond the CEO -The role of the Board in ensuring organizations have the talent to thrive,” by Knightsbridge Human Capital Solutions (Knightsbridge) and the Clarkson Centre for Board Effectiveness (CCBE), in partnership with the Institute of Corporate Directors (ICD).
